To provide fair and equal chance of winning to all www.XtremeTerrain.com web site viewers, the following are the official rules for the contest.

1) NO PURCHASE NECESSARY. PURCHASE WILL NOT IMPROVE CHANCES OF WINNING;

2) Prizes are as follows: 1st Place will win a $250.00 store credit from Xtreme Terrain Corp., 2nd Place will win a $125.00 store credit from Xtreme Terrain Corp., 3rd Place will win a $60.00 store credit from Xtreme Terrain Corp., and 4th through 13th places will be awarded consolation prizes which will consist of a Rugged Ridge Offroad Organizer, a Rough Country Hat and an XtremeTerrain.com T-shirt.

3) The Store Credits can be used towards any product or item listed on Xtreme Terrain Corp.'s web site, http://www.xtremeterrain.com, and can be used to pay for shipping charges as well. Out-of-stock items do not qualify. The Store Credits will expire at 5:01 EST on December 31, 2006. All order using the Store Credits must be placed by telephone.

4) All participants and winners must be 18 years of age or older;

5) Pictures should be no larger than 1 Megabyte or 1,048,576 bytes. Any images larger than that may be disqualified;

6) This Contest is open to all www.XtremeTerrain.com viewers 18 years of age or older except promotional partners and employees and immediate families of Xtreme Terrain Corp., their successors, agents, affiliates or subsidiaries. Management, employees and families of Xtreme Terrain Corp. are prohibited from winning any prizes awarded by Xtreme Terrain Corp. during this contest;

7) Entrants must send entries using the contest entry form provided at www.xtremeterrain.com/entry-form.htm and provide all of the information requested. Xtreme Terrain Corp. is not responsible for and will not consider incomplete or incorrect entries, entries with incorrect address or contact information, or entries sent but not received by Xtreme Terrain Corp. for any reason, as potential contest winners;

8) Only one entry per e-mail address will be considered for contest entry. No person may enter the contest more than once using multiple e-mail addresses. Multiple entries will result in disqualification from contest;

9) Entries selected for display and to win this contest, which requires a photo and text from the entrants, will be judged entirely at the discretion of Xtreme Terrain Corp.’s panel of judges;

10) By submitting any photo or information to Xtreme Terrain Corp., you hereby grant to Xtreme Terrain Corp. and its affiliates, subsidiaries, licensees and assigns, an irrevocable, perpetual and royalty-free right to use, reproduce, edit, display, transmit, prepare derivative works of, modify, publish and otherwise make use of the submitted photo and any other information provided in any and all media, whether now known or hereinafter created, throughout the world and for any purpose. In addition to other things, the rights granted to Xtreme Terrain Corp. includes but is not limited to the right to re-size, crop, censor, compress, edit, feature, caption, affix logos to, and to otherwise alter or make use of the submitted photo;

11) By submitting any photo or information to Xtreme Terrain Corp., you hereby represent and warrant that the submitted photo or information does not and shall not infringe on any copyright, any rights of privacy or publicity of any person, or any other right of any third party, and you have the right to grant any and all rights and licenses granted to Xtreme Terrain Corp. herein, including but not limited to all necessary rights under copyright, free and clear of any claims or encumbrances;

12) You acknowledge and agree that Xtreme Terrain Corp. shall have no obligation to post, display or otherwise make publicly available any photo or information submitted by you, and may, in its sole and unfettered discretion, remove, edit, modify or delete any photo or information that you submit to Xtreme Terrain Corp.;

13) You understand and intend that any photo or information submitted by you to Xtreme Terrain Corp. may be available for viewing, rating, review and comment on by the public, and understand that comments or ratings with which you disagree or are unhappy about may be published or otherwise become associated with any photo or information you submit to Xtreme Terrain Corp. By submitting any photo or information to Xtreme Terrain Corp., you hereby waive any privacy expectations that you may have with respect to any such photo or information submitted by you to Xtreme Terrain Corp.;

14) You hereby agree to hold XtremeTerrain.com, LLC and its affiliates, subsidiaries, licensees sponsors and assigns harmless from and against, and hereby waive any right to pursue, any claims of any nature arising in connection with the inclusion in, publication via or display on any XtremeTerrain.com, LLC site, or any other use authorized under these Terms, of any photo or information submitted to XtremeTerrain.com, LLC by you;

15) Photos or information submitted by you to the Site shall be the property of Xtreme Terrain Corp., and Xtreme Terrain Corp. shall have no obligation to preserve, return or otherwise make available to you or others any photos or information so submitted;

16) Winners of the contest will be contacted at the “entrant” e-mail address used to enter the contest, and the person receiving and replying to the winner announcement e-mail will be considered the winner. Xtreme Terrain Corp. will mail the award to the address supplied by the recipient of the winner announcement e-mail;

17) Claiming of prizes requires an e-mail response to Xtreme Terrain Corp. from the winning sender e-mail address within 30 days of being notified of winning. Failure to respond shall mean that the winner forfeits the prize. Xtreme Terrain Corp. is not responsible for errors in the e-mail information and is not required to award elsewhere any prizes forfeited by the chosen winners;

18) Each prizewinner must supply Xtreme Terrain Corp. with his/her legal name, mailing address, birth date, and night time telephone number;

19) All winners are solely responsible for any and all taxes and/or fees, and all such additional costs that may be incurred;

20) Prizes are not exchangeable, transferable or refundable. Xtreme Terrain Corp. reserves the right to substitute a prize of equivalent value should a prize or any portion thereof become unavailable due to circumstances beyond the control of Xtreme Terrain Corp.;

21) A winner has the right to forfeit the prize, and another will not be awarded in its place;

22) Winners and participants agree to hold Xtreme Terrain Corp., their corporate licensees, promotional partners, sponsors and officers, shareholders, directors, employees, agents and representatives of each of them harmless against any and all claims and/or liabilities arising directly or indirectly from the prize and/or contest;

23) Xtreme Terrain Corp. reserves the right to alter any rules of this contest at anytime. The decision of Xtreme Terrain Corp. management with regard to Xtreme Terrain Corp. contests is final. By participating in contests, the entrants, winners and guests agree to be bound by contest rules. Failure to comply with contest rules may result in disqualification. 24) Contest void where prohibited by law.
